Marine-CRM Terms of Use
Version: 1.13
Last updated: 25 August 2026
1. About these Terms
These Terms of Use (the Terms) govern access to and use of the website available at https://marine-crm.com (the Website) and the Marine-CRM business software platform and related services (together, the Service).
The Service is operated by CIRCLESEA OÜ, an Estonian private limited company, registry code 17563486, VAT number EE103012063, with its public legal address at Võistluse tn 23-44, Kesklinna linnaosa, 10132 Tallinn, Harju maakond, Estonia (Marine-CRM, we, us, or our).
The Service is offered exclusively for business and professional use. It is not offered to consumers. By using the Website or Service, you confirm that you act on behalf of a business or in the course of your trade, business, craft, or profession and that you have authority to bind the organisation you represent where applicable.
Access to the paid Service is also governed by the Master Services Agreement, each signed Order Form, the Data Processing Agreement, the EU Data Act Switching Schedule where incorporated, and any other schedules expressly incorporated between Marine-CRM and the relevant customer (together, the Customer Agreement). For paid Service, the Data Processing Agreement controls within its personal-data processing scope, the EU Data Act Switching Schedule controls within its switching, portability, retrieval and erasure scope, a signed Order Form controls the price, term, package, scope, and numerical limits expressly stated in it, and the Master Services Agreement controls over these Terms.
2. Definitions
For these Terms:
- Activation Notice means Marine-CRM's written confirmation of the exact activation, Subscription Term start, and Subscription Term end timestamps calculated under the Customer Agreement.
- Affected Subscription Term means the single Subscription Term during which the act or omission giving rise to a claim first occurred. A continuing, repeated, or Related Claim is allocated to the term in which the earliest related act or omission occurred. If the relevant act or omission occurred only after expiry while performing a surviving obligation, the Affected Subscription Term is the last term to which that obligation relates.
- Authorised User means an individual whom a Customer has authorised to use the Service within its purchased user-seat limit.
- Base Subscription Fee means only EUR 550 for a standard monthly Subscription Term or EUR 6,000 for a standard annual Subscription Term. It excludes VAT, the Implementation and Onboarding Fee, additional users, storage, domains, priority support, other add-ons, separately priced professional services, and every other non-base or non-recurring charge.
- Customer means the business or organisation that has entered into a Customer Agreement with Marine-CRM.
- Customer Data means information, records, notes, files, and other content submitted to the Service by or on behalf of a Customer or its Authorised Users. Customer Data does not include Platform Data, except that a tenant copy of a contact separately approved for the Shared Dataset under Section 6 remains Customer Data within the contributing Customer's workspace.
- Platform Data means vessel, company, contact, ownership, class, inspection, compliance, sanctions, analytical, derived, enriched, and other information supplied or generated by Marine-CRM, its third-party sources, or an expressly submitted and approved customer contribution, together with the structure and compilation of the Marine-CRM database.
- Shared Dataset means the customer-accessible part of Platform Data concerning companies, vessels, and professional contacts. Contribute to Shared Database is the interface label for submitting a professional contact for possible inclusion in the Shared Dataset.
- Order Form means a written order signed by authorised representatives of both Marine-CRM and the Customer that identifies the purchased Service, subscription term, users, limits, fees, and any expressly agreed special conditions.
- Related Claims means all claims arising from the same or related facts, circumstances, acts, omissions, failures, vulnerabilities, incidents, or series of events, regardless of the number of claimants, records, users, documents, legal theories, or proceedings.
- Subscription Term means one fixed paid access period stated in a signed Order Form and confirmed in an Activation Notice. A standard annual Subscription Term is one twelve-month term, not twelve separate monthly terms.
3. Business eligibility and account creation
There is no public self-registration, free Service account, free trial account, or unpaid Customer access. A personal demonstration conducted by Marine-CRM without giving the prospect a Service account is not a Subscription Term. Any pilot that gives an organisation its own Service access requires a signed and paid Order Form. Marine-CRM creates and activates the initial Customer account only after the applicable Master Services Agreement and Order Form have been signed by authorised representatives of both parties, Marine-CRM has received the corresponding invoice in full, and the Customer has supplied the onboarding information reasonably required for activation. Payment alone does not replace the required signatures.
At production launch, paid Customer organisations must be established in the European Union or European Economic Area. Marine-CRM may approve a Customer established elsewhere only after completing the required privacy, international-transfer, security, and contractual assessment and implementing a lawful transfer mechanism where applicable.
A Customer administrator may invite and remove Authorised Users only within the user-seat limit of the purchased subscription package. Each account is personal to the assigned Authorised User. Accounts, passwords, authentication credentials, and sessions must not be shared.
The Customer is responsible for:
- selecting and supervising its Authorised Users;
- keeping account information accurate and current;
- maintaining the confidentiality and security of credentials;
- promptly removing access when an Authorised User no longer requires it; and
- notifying support@marine-crm.com without undue delay of suspected unauthorised access or credential compromise.
Actions performed through an Authorised User account may be attributed to the Customer unless the Customer promptly reports unauthorised use and reasonably cooperates with the investigation.
4. Limited right to use the Service
Subject to the Customer Agreement and these Terms, Marine-CRM grants the Customer and its Authorised Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the paid subscription term solely for the Customer's internal business purposes.
No ownership rights in the Service, Platform Data, software, database, interface, models, scoring, documentation, branding, or other Marine-CRM materials are transferred to the Customer or any Authorised User.
Unless the signed Order Form states otherwise, the standard package includes two named Authorised Users; company, professional-contact, and vessel records within the purchased scope; the Hull / Class data domain plus one additional domain selected in the Order Form; quarterly scheduled System Data refresh cycles; an isolated Customer CRM workspace; deals and pipeline; projects and tasks; quotations and invoices; internal notes, comments, and documents; the internal REPORT tool; and email support. A scheduled refresh does not guarantee that every source record changes or remains error-free between cycles. Customer SMTP sending is excluded unless later enabled after the required checks and expressly added by signed amendment.
Unless a different numerical limit is stated in the signed Order Form, the standard package permits no more than 200 distinct professional-contact profiles first displayed to a Customer organisation in a rolling 24-hour period, shared across all Authorised Users. A profile is counted when its professional-contact fields are first made available to that organisation in an entitled result or record during the rolling period; repeat display of the same profile to the same organisation during that period does not consume another unit. Customers must not divide activity between users, accounts, devices, or sessions to circumvent the organisation-level limit.
For CIRCLESEA's disclosure records, the actual recipient is the Customer legal entity whose Authorised User receives or views those professional-contact fields. A person or organisation later contacted by the Customer is a recipient of the Customer's separate processing, not an additional disclosure recipient from CIRCLESEA merely because the Service supplied the contact. CIRCLESEA keeps the minimum restricted recipient record needed for privacy rights and correction, restriction, erasure, objection and suppression propagation. It does not use that record as a customer-visible activity feed.
5. Acceptable use and prohibited activities
Users must use the Service lawfully, responsibly, and only for legitimate B2B purposes. Without Marine-CRM's prior written permission, a Customer or Authorised User must not:
- scrape, crawl, harvest, download, extract, copy, or collect Platform Data in bulk or systematically;
- use bots, scripts, browser automation, artificial traffic, or similar technical means to access or query the Service;
- reconstruct, mirror, republish, or create a substitute for the Marine-CRM database;
- resell, license, distribute, disclose, transfer, or otherwise make Platform Data available to third parties;
- use Platform Data to build, train, enrich, validate, benchmark, or operate a competing database, data product, or service;
- bypass rate limits, user-seat limits, access controls, export restrictions, or other technical or contractual safeguards;
- share credentials, permit unauthorised access, or use another person's account;
- reverse engineer, decompile, disassemble, probe, or attempt to discover source code, non-public APIs, security controls, or underlying data structures, except where a restriction is prohibited by mandatory law;
- upload or process unlawful, infringing, malicious, deceptive, or unauthorised data;
- use the Service for spam, harassment, discrimination, unlawful surveillance, fraud, sanctions evasion, or unlawful marketing;
- use professional contact data without complying with applicable privacy, direct-marketing, ePrivacy, anti-spam, and suppression/opt-out requirements; or
- interfere with the availability, integrity, confidentiality, or security of the Service or any other customer's data.
These restrictions do not remove any rights a user may independently have under an applicable open-data licence in underlying source material obtained directly from the original publisher. They prohibit extraction of that material from the Marine-CRM Service and do not grant rights in Marine-CRM's compilation, enrichment, matching, analytics, or derived layers.
Where included in the Customer's package, professional-contact fields may appear automatically when an Authorised User opens or receives an entitled search result or record. The Service does not require a separate Reveal action and does not display CIRCLESEA's internal privacy-notice status. Automatic display is not consent or permission from the individual, does not guarantee accuracy, and does not make every use or communication lawful. The Customer remains responsible for its own lawful basis, purpose, notices, direct-marketing and electronic-communications rules, and objections or opt-outs, as further stated in the Customer Agreement.
When the Customer first communicates with a professional contact using data obtained through the Shared Dataset, including in the first email, the Customer must provide the privacy information required for the Customer's own processing at or before that communication. Where applicable, this must identify the Customer as controller, explain the Customer's purpose and lawful basis, identify Marine-CRM or the relevant source category, link to or provide the Customer's privacy notice, and provide an easy route to object or opt out. The Customer must use reasonable measures to make this information clear and accessible. This Customer notice is additional to, and does not replace, CIRCLESEA OÜ's own transparency obligations for the Shared Dataset.
6. Customer Data
As between Marine-CRM and the Customer, the Customer retains its rights in Customer Data. The Customer grants Marine-CRM the limited rights necessary to host, copy, transmit, back up, restore, format, and otherwise process Customer Data solely to provide, secure, support, and improve the Service in accordance with the Customer Agreement, the Data Processing Agreement, and applicable law.
The Customer is responsible for the legality, accuracy, quality, and provenance of Customer Data and for providing all required notices and obtaining all required rights, permissions, and lawful bases. Unless expressly agreed in writing, the Service is not intended for special-category personal data, children's data, payment-card credentials, medical records, or other data requiring sector-specific safeguards.
By default, Marine-CRM does not make Customer Data available to other customers or convert confidential Customer Data into Platform Data. Aggregated or de-identified operational information may be used only where it cannot reasonably identify the Customer, an Authorised User, or another individual.
When adding a professional contact, an Authorised User may separately and voluntarily select Contribute to Shared Database instead of keeping the contact private to the Customer. This selection submits a separate request for possible inclusion in the Shared Dataset; it does not automatically publish the contact or make it visible to another customer. Until approval, the contact remains visible only within the contributing Customer's workspace.
To make a contribution, the Authorised User must provide either the URL of an official company webpage publishing the professional contact or confirm that the contact was obtained directly from the individual. The Authorised User must also confirm that the information is professional B2B data obtained lawfully, that the Customer has the right to provide it for review and possible inclusion in the Shared Dataset, and that the Customer is not aware of an objection by the individual. The Customer is responsible for the accuracy of that confirmation and for the actions of its Authorised Users.
Marine-CRM may approve a contribution only after manual review of the source, permitted fields, professional relevance, duplication, and suppression status and after the applicable transparency step has been completed or a lawful exception and alternative safeguards have been documented. Where direct notice is required and a usable business email address is available, our normal practice is to send the one-time privacy notice when the contribution is approved for addition and before it is made available to another customer. A permanent delivery failure prevents publication unless CIRCLESEA OÜ documents an applicable legal exception and proportionate alternative safeguards. A later notice from the Customer does not by itself remedy an earlier disclosure by CIRCLESEA OÜ. Marine-CRM may reject, correct, remove, or suppress a contribution where it cannot be verified, is inaccurate, violates these Terms, is subject to an objection, or creates a legal or security risk.
If approved, a separate copy becomes Platform Data and may be made available to other authorised customers subject to the Service's access controls and Privacy Policy. The contributing Customer grants Marine-CRM a non-exclusive, worldwide, royalty-free right, for as long as the contribution may lawfully be retained, to verify, correct, structure, combine, store, display, and otherwise use that submitted copy to operate the Shared Dataset. This permission remains subject to data-subject rights and applicable law. The Customer's original tenant copy remains Customer Data under the Customer's control.
Contributions are voluntary and uncompensated. The Customer and Authorised User receive no payment, subscription discount, credit, bonus, exclusive right, or ownership interest in the Shared Dataset because a contribution is submitted or approved.
7. Export of Customer Data
During the active subscription or the 18-month isolated archive period, a Customer may make one verified request for one standard export of its own Customer Data without an additional export fee. Self-service export is not currently available. A qualifying request under an incorporated EU Data Act Switching Schedule is not limited by this ordinary one-export allowance.
The request must be sent in writing by a verified authorised representative. Structured CRM Customer Data will be provided in CSV and/or JSON as reasonably appropriate. Customer-uploaded files and generated quotations or invoices will be supplied in their original or a commonly readable format. Delivery will use an encrypted or protected archive or a time-limited protected download link after authority is verified.
Marine-CRM normally provides the export within 30 calendar days after verification. If complexity requires longer, Marine-CRM will contact the Customer within that period, explain the issue, and communicate or agree a reasonable extension consistent with the Customer Agreement and applicable law. Repeated exports, non-standard transformation, data cleaning, mapping, custom migration, or manual assistance may be separately scoped and charged under a signed Order Form.
The export excludes Platform Data and Shared Dataset records, source or provenance records, suppression data, security or technical logs, password hashes, MFA material, SMTP credentials or tokens, Marine-CRM internal secrets and Confidential Information, and another customer's data. The Customer's switching, portability, retrieval and erasure rights, the exportable scope, formats and timetable under the EU Data Act are stated in the incorporated Schedule and the current public information at https://marine-crm.com/data-act-switching.
8. Platform Data and data quality
Marine-CRM compiles Platform Data from a combination of sources approved for the relevant use. These may include official public registers and other lawfully accessible public information, open-data publishers used under applicable licences or terms, licensed or contractually authorised data providers, customer or user contributions that pass the required review, and Marine-CRM's own matching, enrichment, structuring, and derived processing. Public accessibility alone is not treated as permission to scrape, reproduce, or commercially reuse data; each source must pass the applicable source, licence, privacy, and access-method review before use.
Where supported by an approved and actually used source, vessel information may include data originally generated by AIS or another vessel-reporting or tracking system and received through terrestrial or satellite infrastructure, together with vessel particulars and official registry, class, port-state, inspection, or similar records. Marine-CRM does not represent that it operates satellite, receiver, or onboard-sensor networks or accesses onboard systems directly unless that is expressly stated for a particular source or product.
Because of the nature, age, timing, and origin of Platform Data, it may be incomplete, delayed, inaccurate, inconsistent, duplicated, or contain errors.
Marine-CRM does not warrant that vessel, company, contact, ownership, class, inspection, compliance, sanctions, or other Platform Data is complete, current, unique, or error-free. Availability of information in the Service does not establish legal ownership, authority, class status, regulatory compliance, sanctions clearance, identity, deliverability of a contact detail, or the accuracy of a commercial signal.
The Service and Platform Data are provided for business-information purposes only. They must not be used as the sole basis for:
- navigation, collision avoidance, voyage planning, or vessel-safety decisions;
- class, flag, port-state, regulatory, or technical compliance;
- ownership, title, beneficial-ownership, or identity verification;
- sanctions, export-control, AML, KYC, or counterparty screening;
- legal, tax, financial, insurance, engineering, or other professional advice; or
- any operational or commercial decision where an error could cause material harm.
Users must independently verify material information with authoritative and current sources before relying on it.
9. Reporting suspected data errors
An Authorised User may report a suspected data error through the internal REPORT tool. Reports are text-only and are automatically linked to the relevant record or data element in the Service.
Reports and the identity of the reporting user are visible only to authorised Marine-CRM personnel and are not displayed to other customers or users. Marine-CRM may use reports to investigate suspected errors and improve overall data quality.
Submitting a report does not establish that the relevant data is incorrect or create a guaranteed correction time. Marine-CRM may need to verify it against the original source or a data provider. Marine-CRM will reasonably review the report and, where supportable, correct, update, suppress, or remove the record.
An ordinary inaccuracy, incompleteness, delay, duplication, or discrepancy in reference Platform Data is not by itself a compensable Service breach and creates no refund, credit, or damages claim. The exclusive contractual remedy for such an ordinary issue is a REPORT followed by reasonable review and, where supportable, correction, suppression, or removal. This does not excuse fraud, intentional misconduct, or gross negligence, exclude non-limitable liability, or remove statutory data-protection duties.
10. Subscriptions, payment, renewal, and refunds
The standard Base Subscription Fee is EUR 550 for one monthly Subscription Term or EUR 6,000 for one annual Subscription Term. The annual fee is one charge prepaid in full and is not payable or cancellable month by month. Access and the Subscription Term begin only after the applicable Master Services Agreement and Order Form have been signed by authorised representatives of both parties, Marine-CRM has received the corresponding invoice in full, and the Customer has supplied the onboarding information reasonably required for activation.
Unless the Order Form states a later date or Customer delay prevents activation, Marine-CRM will activate the standard Service within ten business days after those conditions are met and send an Activation Notice. The term begins at the exact Tallinn local date and time in that notice. A monthly term ends immediately before the corresponding time on the same numbered day in the following month; if that month has no corresponding numbered day, it ends at 24:00 Tallinn time on the last day of that month. An annual term ends immediately before the corresponding time on the same date twelve months later, with the same last-day rule. The signed Order Form and this calculation rule control over a clerical error in the notice.
Unless a signed Order Form expressly states otherwise, all prices and fees stated by Marine-CRM are exclusive of value added tax (VAT). VAT at the applicable rate will be added to the invoice. The Service is supplied electronically and no physical delivery charge applies.
Subscriptions do not renew automatically. Each new monthly or annual period requires a new Order Form signed by both parties and full payment of a new invoice. An immediately succeeding signed and paid Order Form may continue access without interruption, but that continuity is not automatic renewal and does not create an archive event between the two terms.
Standard additional named users cost EUR 49 per user per month and additional storage costs EUR 15 per 10 GB per month. For a full annual term the corresponding prepaid amounts are EUR 588 per additional user and EUR 180 per 10 GB. Additional data domains, machinery scope, priority support, and other additions are available only by signed quotation. A mid-term addition may be prorated in a signed amendment for the remaining term. Add-ons do not change the Subscription Term and are excluded from the Base Subscription Fee and liability-cap calculation.
Prepaid fees are generally non-refundable if the Customer stops using the Service before the end of the paid term. A period during which the Service was properly provided is earned and is not refundable; an express pro-rata repayment following termination concerns only the prepaid recurring fee attributable to the unused period after the effective termination date. A Customer may submit a written refund request, and CIRCLESEA OÜ may, at its reasonable discretion, grant a partial refund as a goodwill exception after an individual review of the circumstances, account history, and available usage and security metadata.
No discretionary refund will normally be granted where available evidence indicates scraping, excessive extraction, credential sharing, circumvention of limits, or another material breach. This section does not affect remedies that cannot lawfully be excluded or a Customer's remedies where Marine-CRM materially breaches the Customer Agreement and fails to cure that breach.
The one-time EUR 1,000 Implementation and Onboarding Fee is governed by the Master Services Agreement and applicable Order Form. Once onboarding work or committed training preparation begins, it is non-cancellable and non-refundable, subject to the cure and reasonable pro-rata remedy for a material unperformed part caused solely by Marine-CRM's uncured material breach. Included training sessions may remain available for their 60-day use window after a monthly term ends, but they do not extend Service access or create post-expiry support; enhanced onboarding support applies only during an active term and never beyond the first two calendar months after initial activation.
11. Usage and security logs
Marine-CRM may keep limited usage and security logs to operate and secure the Service, investigate suspected misuse, enforce contractual restrictions, respond to incidents, and establish, exercise, or defend legal claims.
Current logs record database-request and security metadata and do not provide a complete view of every user action or necessarily contain the underlying details or content of every request.
Unless a longer period is required by law, a documented legal hold, or an unresolved security investigation:
- each relevant log event associated with an annual subscription is automatically deleted 13 months after its creation;
- each relevant log event associated with a monthly subscription is automatically deleted 90 days after its creation; and
Further information about personal data contained in logs is provided in the Marine-CRM Privacy Policy.
12. Suspension and investigation
Marine-CRM may immediately suspend all or part of an account without prior notice where it reasonably suspects scraping, bulk extraction, credential sharing, unauthorised access, circumvention of limits, unlawful activity, sanctions risk, non-payment, or another threat to the Service, its data, its users, Marine-CRM, or third parties.
Marine-CRM will notify the Customer as soon as reasonably practicable after suspension unless notice would compromise security, an investigation, or legal obligations. Such cases receive high-priority review. Marine-CRM will aim to complete an initial review and communicate a decision or status update within five business days.
Access will be restored promptly if the risk is resolved and no material breach is established. A suspension may continue beyond the initial review period where concerns remain unresolved, additional information is required, or a violation has been identified. Marine-CRM will communicate an extension and available next steps unless doing so would compromise security or an investigation.
If abuse or a material breach is confirmed, Marine-CRM may continue the suspension, restrict functionality, revoke specific accounts, or terminate the Customer Agreement. Suspension does not relieve the Customer of fees already due and does not extend the paid subscription term unless Marine-CRM agrees otherwise in writing.
13. Termination and cure
Either party may terminate the Master Services Agreement or an affected Order Form for the other party's material breach if the breach is not cured within ten business days after detailed written notice. No cure period is required for an irremediable, intentional, fraudulent, unlawful, repeated critical, or critical security-related breach, or where immediate termination is reasonably necessary to protect the Service, data, Marine-CRM, its customers, data providers, or third parties.
The Customer may terminate the framework Master Services Agreement on 30 days' written notice, but that convenience termination does not terminate, shorten, or refund an already signed and paid Order Form. The Customer may stop using the Service at any time, but its convenience cessation does not create a refund for the active paid term unless Marine-CRM grants a discretionary goodwill exception.
Marine-CRM may terminate an active Order Form without Customer breach on at least 30 days' written notice and will refund prepaid recurring fees attributable to the unused period after termination. If the Customer validly terminates for Marine-CRM's uncured material breach, Marine-CRM will likewise refund prepaid recurring fees attributable to the unused terminated period. A completed or earned onboarding fee is governed by Section 10 and the Customer Agreement.
If Marine-CRM terminates for Customer breach, prepaid fees are non-refundable. On expiry or termination, access to the Service ends unless the Customer Agreement states otherwise. Sections intended by their nature to survive remain effective, including restrictions concerning Platform Data, intellectual property, confidentiality, data protection, disclaimers, indemnity, liability, dispute resolution, and accrued payment obligations.
Where the incorporated EU Data Act Switching Schedule applies, the affected Service contract terminates automatically on successful completion of a qualifying switch selected as a contract exit, or at the end of that Schedule's initiation-notice period for an erase-only exit. Marine-CRM will confirm the termination timestamp. No separate early-termination penalty applies, and Marine-CRM will refund the prepaid Base Subscription Fee attributable on a daily pro-rata basis to the unused period after that timestamp. Earned elapsed-period fees and properly performed onboarding remain payable. This does not create a refund for ordinary convenience cessation outside the Schedule.
14. Post-termination retention and deletion of Customer Data
When a Subscription Term ends without an immediately succeeding signed and paid Order Form, normal Customer access is disabled and Customer Data is moved to an isolated archive for 18 months for possible return, recovery, or export. Restoration or export is performed only following a verified Customer request. Immediate continuity under a successor Order Form is not automatic renewal.
The Customer may request earlier export or permanent deletion, subject to the Customer Agreement, Data Processing Agreement, legal obligations, and any valid legal hold. Where incorporated, the EU Data Act Switching Schedule controls a qualifying switching, retrieval or erasure request and displaces this default archive instruction within its scope.
Marine-CRM will send deletion reminders to the Customer's designated contact approximately:
- one month after termination;
- six months after termination;
- twelve months after termination; and
- one month before permanent deletion.
At the end of the 18-month archive period, Customer Data is permanently deleted from active systems. Residual copies may remain in protected backups for up to 30 additional days solely for disaster recovery. Those copies are not available for ordinary access or use and are removed through automatic backup rotation.
15. Intellectual property and third-party rights
Marine-CRM and its licensors retain all rights, title, and interest in the Service, including its software, design, documentation, trade names, trademarks, database structure, selection and arrangement of data, enrichment, matching, analytics, scores, and derived outputs.
Certain underlying data may remain subject to third-party rights, public-sector terms, or open-data licences. Ownership and permitted reuse of such underlying material are determined by the applicable source terms. Marine-CRM does not claim ownership over material that belongs to a third party or is dedicated to the public domain.
If a user provides feedback or suggestions about the Service, Marine-CRM may use them without restriction or payment, provided that doing so does not disclose Customer Confidential Information or personal data contrary to applicable law.
16. Availability, changes, and third-party services
Marine-CRM may maintain, update, modify, suspend, replace, or discontinue features where reasonably necessary for security, legal compliance, provider restrictions, technical maintenance, or product development. Marine-CRM will not arbitrarily and materially reduce the core paid functionality of a purchased package during an active prepaid term. If a material reduction is reasonably necessary because of law, security, a third-party source or provider restriction or discontinuation, or technical necessity, Marine-CRM will give reasonable notice where practicable and use reasonable efforts to offer a reasonably equivalent alternative. If none is available, the affected Customer may terminate the materially affected part and receive a pro-rata refund of prepaid recurring fees for the unused period, as further provided in the Customer Agreement.
The Website or Service may contain links to, integrations with, or data from third-party services. Marine-CRM does not control third-party services and is not responsible for their availability, content, security, or independent processing practices. Separate third-party terms may apply.
No uptime percentage, guaranteed response or resolution time, backup commitment, automatic service credit, or formal SLA applies unless expressly stated in a signed Customer Agreement. Any operational initial-response target published by Marine-CRM or described in the Master Services Agreement is a target only and is not a guaranteed response or resolution time or service-credit commitment.
17. Disclaimers
To the maximum extent permitted by law, the Website, Service, Platform Data, analytics, scores, signals, and other outputs are provided “as is” and “as available.” Marine-CRM disclaims all express or implied warranties not expressly included in the Customer Agreement, including warranties of uninterrupted availability, fitness for a particular purpose, merchantability, non-infringement, accuracy, completeness, timeliness, uniqueness, or results.
Marine-CRM does not guarantee that use of the Service will produce sales, leads, contracts, revenue, compliance outcomes, or any other commercial result. Users remain responsible for their decisions, communications, outreach, due diligence, and compliance with applicable law.
Nothing in these Terms excludes an obligation or remedy that cannot lawfully be excluded.
18. Limitation of liability
To the maximum extent permitted by law, CIRCLESEA OÜ is not liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profit, revenue, business, contracts, opportunities, anticipated savings, goodwill, reputation, or data, including losses resulting from decisions made in reliance on Platform Data.
For a Customer and subject to the exceptions below, CIRCLESEA OÜ's total aggregate liability arising out of or relating to the Website, Service, these Terms, or the Customer Agreement for all ordinary claims allocated to one Affected Subscription Term is limited to 50% of the Base Subscription Fee actually paid for that Affected Subscription Term, whether the claims are related or unrelated and whether pleaded in contract, tort, negligence, restitution, statute, misrepresentation, or another legal theory, to the extent such liability may lawfully be limited:
- EUR 275 for the standard monthly Subscription Term paid at EUR 550;
- EUR 3,000 for the standard annual Subscription Term paid at EUR 6,000.
This ordinary cap applies once per Affected Subscription Term, not per event, claim, user, record, contractual document, or legal theory. Related Claims spanning more than one Subscription Term are allocated once to the earliest Affected Subscription Term and do not generate a new cap in a later term. Genuinely unrelated claims first arising in different Subscription Terms may have a separate cap for each such term. The ordinary cap excludes claims assigned below to the enhanced confidentiality, privacy, and security cap. It is a maximum limit, not an automatic entitlement to payment, refund, credit, or compensation.
CIRCLESEA OÜ's total aggregate liability to the Customer for all claims specifically arising from its breach of confidentiality obligations, applicable privacy or data-protection obligations, express security commitments, or the Data Processing Agreement is limited to 70% of the Base Subscription Fee actually paid for the Affected Subscription Term, whether pleaded in contract, tort, negligence, restitution, statute, misrepresentation, or another legal theory and to the extent contractual limitation is lawful: EUR 385 for the standard monthly term paid at EUR 550 or EUR 4,200 for the standard annual term paid at EUR 6,000. This enhanced cap applies once per Affected Subscription Term, not per event, person, record, document, legal theory, or affected data subject. Related Claims spanning terms are allocated once to the earliest Affected Subscription Term. It does not limit statutory claims by affected persons or regulatory powers where contractual limitation is prohibited.
The exclusive monetary remedy for onboarding is the pro-rata remedy in Section 10 and the Master Services Agreement and may not exceed the EUR 1,000 Implementation and Onboarding Fee. For all claims allocated to the same Affected Subscription Term, the onboarding, ordinary, enhanced, and fallback caps do not stack, whether the claims are related or unrelated. The highest single applicable cap is the total aggregate maximum for that term, except for liability that cannot lawfully be limited.
Nothing in these Terms purports to exclude or limit liability for fraud, intent, gross negligence, death or personal injury caused by negligence, statutory claims of data subjects, or any other liability to the extent it cannot lawfully be limited or excluded. Nothing restricts a regulator's or public authority's statutory powers or a fine, penalty, or measure imposed directly on CIRCLESEA. CIRCLESEA does not assume liability for a fine or penalty imposed on the Customer except to the extent mandatory law or an express signed indemnity requires otherwise.
If, and only to the extent, a court or competent authority determines that a claim in the preceding paragraph is legally capable of contractual financial limitation, CIRCLESEA OÜ's fallback total aggregate liability to the Customer is limited to 100% of the Base Subscription Fee actually paid for the Affected Subscription Term: EUR 550 for the standard monthly term or EUR 6,000 for the standard annual term. The allocation, aggregation, and non-stacking rules above apply. This fallback does not apply where limitation is prohibited and does not limit claims or powers belonging to a data subject, regulator, public authority, or other third party. For a Website visitor with no Affected Subscription Term, the fee-based Customer caps do not create liability that would not otherwise exist.
19. Privacy and data protection
Marine-CRM processes personal data in accordance with its Privacy Policy. Where Marine-CRM processes Customer Data as a processor on behalf of a Customer, the applicable Data Processing Agreement governs that processing.
Privacy and data-subject requests may be sent to privacy@marine-crm.com.
20. Changes to these Terms
Marine-CRM may update these Terms to reflect changes in the Service, law, security requirements, data-provider obligations, or business practices. Marine-CRM will provide reasonable advance notice of a planned material change to Customers, normally at least 30 calendar days before it takes effect, unless an earlier change is required by law, a regulator, urgent security needs, or a third-party right or restriction.
For an ordinary planned material change, a Customer may send a reasoned written objection to legal@marine-crm.com within 14 business days after receiving the notice. Marine-CRM will review the objection in good faith and communicate its position before the planned effective date. An objection does not by itself amend a signed Customer Agreement, create a unilateral veto, or prevent a change that is required by law, a regulator, urgent security needs, or a binding third-party restriction.
Changes do not retroactively reduce accrued rights, amend a signed Master Services Agreement or Order Form, or materially worsen a Customer's core commercial rights during an active prepaid term. Where a Customer does not accept a prospective material change, it may stop using the Service and raise the matter under the Customer Agreement. Continued use constitutes acceptance only to the extent permitted by law and does not replace affirmative consent where applicable law requires consent to a new processing activity.
21. Governing law and disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules.
Before starting court proceedings, a party must send a written notice describing the dispute and the requested resolution. The parties will attempt in good faith to resolve the dispute for 30 days after receipt of the notice.
This negotiation requirement does not prevent either party from seeking urgent interim or injunctive relief where reasonably necessary to protect personal data, confidentiality, intellectual property, or the security of the Service or database.
Subject to mandatory law, the courts of Estonia located in Tallinn have exclusive jurisdiction, including Harju County Court where it has subject-matter jurisdiction.
22. General provisions
If any provision is held invalid or unenforceable, the remaining provisions remain effective, and the invalid provision will be interpreted or replaced to the minimum extent necessary to make it enforceable while preserving its commercial purpose.
A failure or delay in enforcing a right is not a waiver. A Customer may not assign or transfer its access or rights without Marine-CRM's prior written consent, except as expressly permitted in the Customer Agreement.
Neither party is liable for delay or failure, other than payment obligations, to the extent caused by an event beyond its reasonable control. The affected party must notify the other as soon as reasonably practicable, use reasonable efforts to mitigate, and promptly resume performance. Lack of funds and an ordinary preventable failure of the Customer's own systems are not force majeure.
For the paid Service, conflicts are resolved by subject matter and then in the following order: the Data Processing Agreement controls the processing and protection of Customer Personal Data, except that the EU Data Act Switching Schedule controls mandatory switching, portability, retrieval, contract-exit, and related erasure mechanics within its scope; the EU Data Act Switching Schedule otherwise controls those topics; a signed Order Form controls price, Subscription Term, package, scope, users, numerical limits, and only those lawful variations that expressly identify the affected provision; the Master Services Agreement follows; then these Terms and incorporated policies; and finally Documentation. An Order Form does not silently amend the Master Services Agreement, Data Processing Agreement, or EU Data Act Switching Schedule. Customer purchase orders, invoices, emails, proposals, vendor questionnaires, demonstrations, roadmaps, marketing statements, and oral statements do not amend the Customer Agreement unless authorised representatives of both parties sign an express amendment.
